Welcome to Neztdo ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Neztdo website (neztdo.com), the Neztdo web application (neztapp.com), and related services (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree, please do not use Neztdo.

1. Definitions

User: Any individual or entity accessing or using the Service.

User Content: All data, projects, tasks, files, or records you upload, input, or store in the Service.

Account: Your registered Neztdo user profile that provides access to features and subscriptions.

Subscription: Any paid plan (Business, Enterprise) that grants access to premium features of the Service.

Platform: Refers collectively to the Neztdo app, website, and APIs.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using Neztdo, you confirm that you meet these eligibility requirements.

3. Account Registration and Security

  • You agree to provide accurate, current, and complete information during account creation.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us immediately at info@neztdo.com if you suspect unauthorized access or a security breach.
  • We reserve the right to suspend or deactivate inactive, compromised, or fraudulent accounts.

4. Use of the Service

Neztdo grants you a limited, non-exclusive, non-transferable license to use the Service for lawful project management and team collaboration.

  • You may not reverse-engineer, decompile, modify, or create derivative works of the Service.
  • You must not use the Service for fraudulent, unlawful, or harmful activities, or upload content that violates applicable laws.
  • No Project Management Advice: Neztdo is a productivity and collaboration tool. It does not provide professional consulting, legal, or financial advice. Users should seek professional advice for business decisions.
  • Do not upload sensitive credentials, passwords, or confidential financial data.

5. Subscriptions and Payments

Neztdo offers a free Starter plan and paid Business ($50/month) and Enterprise ($120/month) plans with unlimited users.

  • Subscriptions are billed monthly or annually (with 20% discount for annual billing).
  • All fees are in USD unless otherwise stated.
  • We reserve the right to change pricing with 30 days' notice via email or in-app notification.
  • Refunds: Refund requests are handled according to Australian Consumer Law (ACL). Contact info@neztdo.com for refund inquiries.
  • Payment processing is handled by third-party processors. We do not store full payment card details.

6. User Content

  • You retain full ownership of your User Content.
  • By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your data solely to operate and improve the Service.
  • You are responsible for the accuracy, legality, and integrity of your data.
  • Data Backup Disclaimer: While we take reasonable measures to safeguard and back up your data, we cannot guarantee against data loss. Users are encouraged to maintain their own copies of critical records.

7. Data Privacy and Security

Your privacy is important to us. Please review our Privacy Policy for full details on data handling.

  • We implement industry-standard encryption and security protocols (including AES-256 and TLS 1.3).
  • We comply with Australian Privacy Principles (APPs), General Data Protection Regulation (GDPR — EU/UK), and California Consumer Privacy Act (CCPA).
  • No online system is completely secure. By using Neztdo, you acknowledge and accept the inherent risks of cloud-based storage.

8. Third-Party Services

Neztdo may integrate with third-party tools such as payment processors, analytics services, or external APIs.

  • Use of third-party services is governed by their own terms and privacy policies.
  • We are not responsible for their actions, data use, or service interruptions.
  • Integrations may change or be discontinued without notice.

9. Intellectual Property

  • All intellectual property rights in the Service (excluding User Content) belong to NEZTDO CORPORATION PTY LTD or its licensors.
  • You may not copy, modify, distribute, or use our trademarks, logos, or software code without prior written permission.

10. Service Modifications

We may improve, update, or discontinue features at any time.

  • We will make reasonable efforts to notify users before removing any core functionality.
  • We are not liable for modifications or interruptions necessary for maintenance or improvement.

11. Limitation of Liability

To the fullest extent permitted by law:

  • NEZTDO CORPORATION PTY LTD and its affiliates are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or goodwill.
  • Our total liability for any claim is limited to the amount you paid for the Service in the three (3) months prior to the claim.
  • We are not responsible for loss or corruption of data, or decisions made based on app-generated information.
  • This limitation does not apply where prohibited by law, including death, personal injury, or fraud caused by our negligence.

12. Indemnification

You agree to indemnify and hold harmless NEZTDO CORPORATION PTY LTD, its officers, employees, and affiliates from any claims, damages, or losses (including legal costs) arising out of:

  • Your breach of these Terms,
  • Your misuse of the Service, or
  • Any violation of law or third-party rights.

13. User Rights (Global Compliance)

GDPR (EU/UK): Right to access, correct, erase, export, restrict, or object.

CCPA (California): Right to know, delete, opt-out (we do not sell data).

Australian Consumer Law (ACL): You are entitled to services provided with due care and fitness for purpose.

PDPA (Sri Lanka): Sri Lankan users have the right to access their personal data, correct inaccuracies, request deletion, restrict or object to processing, withdraw consent, and prevent automated decision-making.

14. Termination

  • You may delete your account at any time via settings or by contacting support.
  • We may suspend or terminate your access if you breach these Terms or engage in harmful activity.
  • Upon termination, your license to use Neztdo ends immediately.
  • User data may be retained for up to 90 days for legal or compliance purposes before permanent deletion.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant uninterrupted access, error-free operation, or accuracy of project outcomes derived from the Service.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Australia. You agree to the exclusive jurisdiction of the courts of Victoria, Australia for all disputes arising under or related to these Terms. International users acknowledge that Australian law applies regardless of residence.

17. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of Neztdo after updates constitutes acceptance of the revised Terms.
